Upon a request by DocJuris, you agree to protect, defend, indemnify, and hold harmless DocJuris, all of its affiliated companies, and their employees, contractors, officers, partners and directors from all liabilities, costs, expenses, claims, and expenses, including attorney’s fees, that arise from your use or misuse of DocJuris including, without limitation, third party use, interaction with DocJuris web forms, use of customer data, or submission of business profiles. DocJuris reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with DocJuris in asserting any available defenses.
10. INTERNATIONAL USE
DocJuris makes no representation that materials on the Site are appropriate or available for use in locations outside the United States, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access the Site from other locations do so on their own initiative and are responsible for compliance with local laws.
11. CHOICE OF LAW AND FORUM
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Texas. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of the Site shall be filed only in the state or federal courts located in the state of Texas, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. Furthermore you consent to the exclusive jursidiction of the district courts in Harris County, Texas.
12. SEVERABILITY
Should any part of these Terms of Use be rendered or declared invalid by a court of competent jurisdiction of the State of Texas or any other applicable jurisdiction, such invalidation of such part or portion of this Agreement should not invalidate the remaining portions thereof, and they shall remain in full force and effect.
13. ENTIRE AGREEMENT
These Terms of Use constitutes the entire agreement between the parties and supersedes any other writings or oral statements with regard to the use of DocJuris.
